ARTICLE 1. PURPOSE OF THE TERMS OF SALE

The site accessible at the address www.carolinedemarchi.com (the “Site”) offers a presentation of leather goods creations (particularly bags, pouches and accessories) (the “Creation(s)”) of the CAROLINE de MARCHI SARL company, a limited liability company with capital of 100.000,00 €, registered with the Paris Trade and Corporate Registry under number B 505 086 793 with its main office located at 81 rue des Saints-Pères - 75006 Paris, (“CAROLINE DE MARCHI”). The Creations are sold in stores at the addresses indicated on the Site or sold on line to individuals (the “Buyer” or “You”). The use of the Site implies unreserved acceptance of the terms of use (“Terms of Use”). These documents are an integral part of the Terms of Sale (the “Terms of Sale”). The Terms of Sale govern the contractual relations for all orders of all Creations legitimately placed by any Buyer on the Site (the “Order”). The Terms of Sale will remain applicable in the event of a breach by CAROLINE de MARCHI of one of its contractual obligations, which may not be interpreted as a renunciation of the Terms of Sale. You declare to be at least 18 years old and legally able or authorized by your legal representatives to place an Order on the Site. You declare that you are aware of the Terms of Sale and accept them by checking the box for this purpose at the time of the Order. These Terms of Sale can be modified later on. The version applicable to the Buyer is the one in effect on the date of the placing of his Order.

ARTICLE 2. CREATIONS OFFERED FOR SALE ON THE SITE

The Creations offered for sale are those that appear in the accessible collections on the Site and which are indicated with the option “order this product”, unless they are exceptionally unavailable. The photographs of the Creations are provided for illustration purposes and have no contractual value. Please refer to the description of each Creation to see its precise characteristics. All of the Creations offered for sale on the Site are new.

ARTICLE 3. PLACING OF ORDERS

Orders are placed on the Site.

3.1. Creation of an account

In order to place Orders, You must first create an account that will allow You to manage your Orders (the “Account”). If You already have an Account, you need only to identify yourself. For further information concerning the data of a personal nature handled by CAROLINE de MARCHI, please refer to the Terms of Use.

3.2. Selection of the Creations

You can select the Creations of your choice (as long as they are available for on-line sales) and the desired quantity. The total price not including taxes and not including delivery, the total price including all taxes, and the delivery costs will be displayed on the Site. You must accept the Terms of Sale (which can be consulted and of which You expressly acknowledge your awareness) to go to the next step: “invoicing”.

You must fill in the name and address for invoicing to go to the next step: “delivery”

3.4. Delivery

The Buyer can modify the delivery address for the Creations if it differs from the invoicing address.

3.5. Printing of the Purchase Order

The Buyer must confirm his order by clicking on the button “final confirmation of the order” to be able to print out the Purchase Order. With a click on the button “print the purchase order”, the Purchase Order is displayed. The Purchase Order will contain the order summary: Order number, date of the Order, delivery and invoicing addresses, indication of the Creations(s) ordered, the prices without taxes and all taxes included and the delivery costs and payment procedures. You can print this Purchase Order, which will also be accessible from your Account. To confirm the sale, you can either pay by credit card, Paypal or send to CAROLINE de MARCHI a check made out to the CAROLINE de MARCHI Company corresponding to the amount due and accompanied by the Purchase Order that you have signed and bearing the reference of the Order. The receipt of payment for the Order and the duly signed Purchase Order will be considered the signature and final acceptance of the sale by the Buyer.

3.6 Non-availability of the Creations of the Order

In the event that the Creations ordered are not available, CAROLINE de MARCHI will notify the Buyer as quickly as possible and at the latest within thirty (30) days of the receipt of payment. CAROLINE de MARCHI will offer the Buyer a Creation of equivalent quality and price. In the event of acceptance by the Buyer, as part of the exercising of his right of withdrawal, the return costs will be at CAROLINE de MARCHI’s expense.

ARTICLE 4. PRICES

The prices of the Creations can be modified at any time, without notice. However, the Creations will be invoiced based on the rate in effect at the time of the confirmation of your Order. The prices are understood to be in Euros, net, not including taxes, based on the rates announced to the Buyer and including the standard packaging costs. In no event will the prices that appear on the Site at the time of the placing of an Order be binding on CAROLINE de MARCHI for future orders.

ARTICLE 5. INVOICING AND PAYMENT PROCEDURES

The Order must be paid for in a single payment by credit card, Paypal or by check made out to the CAROLINE de MARCHI Company and sent to CAROLINE de MARCHI 81 rue des Saints-Pères - 75006 Paris. The full payment must be received within fifteen (15) days of the placing of the Order. Failing that, the Order will be considered null and void. All invoices are dated and bear the value of the day of the Purchase Order. The invoice is sent to the Buyer at the time of the delivery of the Creations.

ARTICLE 6. DELIVERY

CAROLINE de MARCHI reserves the right to choose the carrier. The Creations can be delivered in Metropolitan France (including Corsica), in the countries of the European Union, and throughout the world. The delivery of the Creations is at the Buyer’s expense. For deliveries outside of Metropolitan France, customs duties or other local taxes may be applicable. These are exclusively at your expense and are your full responsibility, for both declaration and payment. We encourage you to seek information from your local authorities before placing an Order. The delivery will be considered to have been made at the time of receipt of the Order goods. It is up to You to make sure that the Creations were not damaged during the shipping. The Creations will be sent to the delivery address that You indicated when You placed the Order. It is up to You to make sure that the delivery address was correctly entered. Your Order will be delivered at the latest 20 days after receipt of the complete payment for the Creations. In the event of non-observance of this delivery deadline, You can cancel the sale in accordance with the provisions of articles L.114-1 and L.121-20-3 of the Consumer Code. In the event of exceptional non-availability of the Creations, You will be notified immediately and reimbursed for the sums paid, within thirty days of the receipt by CAROLINE de MARCHI of the payment for the Order at the latest.

4 ARTICLE 7. WITHDRAWAL

In accordance with the legal provisions in effect, You have a period of fourteen (14) clear days as of the delivery of the Order to exercise your right of withdrawal without having to justify this. In the event of the exercising of the right of withdrawal within the abovementioned period, and in accordance with the provisions of article L121-20-1 of the Consumer Code, the amount of the Order and the corresponding delivery costs will be reimbursed to the exclusion of the return shipping costs which will be at your expense (except for the case of a purchase in a case of non-availability). If You receive the Creations after your withdrawal, You will receive Reimbursement of the amount of the Order as of the receipt by CAROLINE de MARCHI of the Creations involved as long as they are returned in perfect condition allowing for their sale. The reimbursement will be made by any means of payment within thirty (30) days at the latest of the date on which the right of withdrawal was exercised. The Creations must be returned in perfect condition for sale (unworn, not damaged or dirty), in their original packaging, accompanied by any accessories and a copy of the invoice. The Creations must be sent to the following address: CAROLINE de MARCHI SARL 81 rue des Saints-Pères - 75006 Paris. We strongly advise You to send them by registered mail with return receipt requested or by any means that provide proof of receipt. The costs and risks linked to the return of the Creations will be your exclusive responsibility. If the return is accepted, the reimbursement will be made by any means of payment within thirty (30) days of the date on which the right of withdrawal was exercised. If the Creations are not in perfect condition for sale, the return will be refused and no reimbursement will be made.

Article 8. LACK OF CONFORMITY AND HIDDEN DEFECTS

The provisions of this article are without prejudice to the right of withdrawal mentioned in article 7. In accordance with the legal provisions in effect regarding the compliance of the Creations, You will receive reimbursement or exchanges for Creations that are not in conformity, that do not correspond to your Order or that have hidden defects. The Creations should be returned, in accordance with the return procedure mentioned in article 7, in perfect condition (unworn, not damaged or dirty, other that the alleged defect), in their original packaging, accompanied by any accessories and a copy of the invoice. If the return is accepted, the Creations purchased will be exchanged for You. You will receive reimbursement of the delivery costs and return costs (base rate in effect). However, if the Creations are not available, You will receive reimbursement of the price of the Creations purchased, the delivery costs and the return costs. The reimbursement will be made by any means of payment within thirty (30) days of receipt of the Creations. The risks linked to the return of the Creations will be your exclusive responsibility.

ARTICLE 10. LIABILITY AND GUARANTEE

You are solely responsible for your Account which allows You to manage your Orders, the data of a personal nature that appears in it and your password. For further information, You can refer to the Terms of Use. You are entirely responsible for all payment problems. You guarantee to CAROLINE de MARCHI that you have all the rights needed to pay for Orders and You agree to pay for them in full. CAROLINE de MARCHI may not be held responsible for the partial or total non-fulfillment of its obligations, or of any lateness in their fulfillment, if this non-fulfillment or lateness was caused by the occurrence of unforeseeable, irresistible or outside events or if this nonfulfillment or poor fulfillment was due to You or was due to the unforeseeable and unavoidable action of a third party. CAROLINE de MARCHI may not be held responsible for difficulties relating to the Internet and difficulties relating to hosting and more generally any technical disturbance that could occur on the Site. Regardless of the reason, CAROLINE de MARCHI’s liability may never exceed the amount of the Order.

ARTICLE 11. SUSPENSION

CAROLINE de MARCHI reserves the right to forbid your access to the Site and to suspend your Account, without notice, in the event of violation of the Terms of Sale or of Use, problems with payment or any illegal act.

ARTICLE 12. APPLICABLE LAW

The contractual relations between CAROLINE de MARCHI and the Buyer are governed by French law. The language of interpretation is French.
